Terms of Service

Please read these terms carefully before using BaniyaDesk. By accessing or utilizing our invoice generator and dashboard services, you agree to be bound by this agreement.

1. Acceptance of Terms

These Terms of Service constitute a legally binding agreement between you (“User”, “you”, or “your”) and BaniyaDesk (“we”, “us”, or “our”).

By accessing our website, creating an invoice, requesting a one-time login passcode, or upgrading to a paid tier, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these terms, you must refrain from using the platform.

2. Account Security & OTP Access

BaniyaDesk utilizes a modern passwordless authentication flow via single-use passcodes (OTP) dispatched to your verified email address:

  • •You are solely responsible for maintaining control and security of the email address linked to your account.
  • •Any individual with authorized or unauthorized access to your email may receive OTPs to access your invoice history.
  • •You must immediately notify us at support@baniyadesk.com if you suspect your account has been compromised.

3. Acceptable Use & Anti-Fraud Policy

You agree to use BaniyaDesk solely for legitimate commercial, professional, and freelance invoicing. The following activities are strictly forbidden and will result in instant termination:

Fraudulent BillingCreating deceptive, counterfeit, or forged invoices to mislead individuals or institutions.
Phishing & ImpersonationImpersonating government entities, licensed banks, or unrelated enterprises.
Platform AbuseUsing bots, scrapers, or automated tools to overwhelm server resources or spam OTP endpoints.
Malicious PayloadsInjecting harmful script payloads into invoice descriptions or company logo uploads.

4. Invoicing Accuracy & Tax Compliance

BaniyaDesk provides flexible software tools to structure, calculate, and format billing documents. However:

  • User Responsibility: You are solely responsible for ensuring the accuracy of all prices, quantities, currency symbols, discount structures, and tax percentages (e.g. GST, VAT, Sales Tax).
  • No Tax / Accounting Advisory: BaniyaDesk is not a licensed accounting firm or financial advisor. Documents produced should be validated with your certified accountant to meet local jurisdiction requirements.

5. Intellectual Property & User Data

Your Content: You retain complete ownership of all trademarks, logos, client rosters, descriptions, and figures you create or upload on BaniyaDesk.

Our Platform: BaniyaDesk retains all intellectual property rights relating to our proprietary invoice template layouts, CSS engine, visual components, logos, and software codebases. You may not reverse-engineer, clone, or resell the platform source code.

6. Free Tier, Subscriptions & Refunds

Free Plan: We offer generous free invoicing features allowing you to create invoices and test all templates at zero cost.

Pro & Agency Plans: Upgraded tiers unlock unlimited client directories, automated payment reminders, custom domains, and removal of watermarks. Subscriptions are billed in advance on a recurring monthly or annual cadence.

14-Day Refund Guarantee: If you are unsatisfied with an upgraded plan for any reason within the first 14 days of your initial purchase, contact our support team for a full refund.

7. Service Availability & SLA

We endeavor to maintain 99.9% platform availability. However, occasional scheduled maintenance, edge network outages, or hosting provider disruptions may occur. We recommend exporting PDF copies of your mission-critical tax invoices for offline storage and peace of mind.

8. Termination & Account Cancellation

You may cancel your account at any time via Settings. Upon termination:

  • • Any active premium subscription will not renew past the current paid period.
  • • You will have the option to export all client records and invoice archives prior to permanent closure.
  • • BaniyaDesk reserves the right to suspend or terminate accounts that breach our Anti-Fraud Policy.

9. Limitation of Liability & Warranties

BANIYADESK IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BANIYADESK SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REPUTATION, OR BUSINESS DISRUPTIONS.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the applicable commercial jurisdiction without regard to conflict of law principles. Any dispute arising under these Terms shall first be attempted to be resolved amicably through good-faith informal consultation.
